Mr. Birmingham stated that he felt it appropriate to step down from any official management involvement in light of allegations in legal matters involving an unrelated company. The lawsuit that contained these allegations has been dismissed. Mr. Birmingham opined that, "The lawsuit has been dismissed and would have ultimately proven to have lacked merit related to me. However, it would be irresponsible of me to allow any opportunity for harm to come to AACS from unrelated matters. The success of American Commerce Solutions has been a labor of love for over a year and a half and is poised for great growth. I will not let anything or anybody that is outside of the company impede its progress by allowing myself to be a distraction be it real or perceived."

His exemplary efforts behind the scenes have been inspirational having transpired at a time of significant personal sacrifice and great personal loss.
