American Commerce Solutions Announces the Resignation of Norman Birmingham as Chief Financial Officer and Director.

BARTOW, Fla.--(BUSINESS WIRE)--May 16, 2001

American Commerce Solutions, Inc. (OTCBB:AACS) announced today that the Board of Directors had received and accepted the resignation of Norman J. Birmingham from his position as Chief Financial Officer and from his seat on the Board of Directors. Mr. Birmingham has been the architect of the revitalization of the parent company from its troubled days as JD American Workwear, Inc.

Mr. Birmingham stated that he felt it appropriate to step down from any official management involvement in light of allegations in legal matters involving an unrelated company. The lawsuit that contained these allegations has been dismissed. Mr. Birmingham opined that, "The lawsuit has been dismissed and would have ultimately proven to have lacked merit related to me. However, it would be irresponsible of me to allow any opportunity for harm to come to AACS from unrelated matters. The success of American Commerce Solutions has been a labor of love for over a year and a half and is poised for great growth. I will not let anything or anybody that is outside of the company impede its progress by allowing myself to be a distraction be it real or perceived."
