The transaction requires all officers and directors of the public company to resign. It provides for the appointment of the existing American Ammunition management team to their appropriate positions in the new company. American Ammunition shareholders will receive 21,000,000 shares for their interest in the company. Total issued and outstanding shares postclosing total 29,827,200.

Andres Fernandez, Emilio D. Jara, Emilia Fernandez, Stephen Durland, Maria A. Fernandez, Len Hale and Robert Escobio were elected to serve on the Board of Directors of the Company (the "Board"). The Board appointed Andres Fernandez as Chairman of the Board, President and Chief Executive Officer; Emilio D. Jara as Vice-President of Operations and Secretary; Emilia Fernandez as Vice-President; and Stephen Durland as Chief Financial Officer.
