     tee times, cart and green fees, golf instruction, roundtrip air
     transportation, rental car and hotel accommodations.

--   Allow Book4golf.com to gain the www.awagolf.com URL, which
     content will be amalgamated under the www.Book4Golf.com site.

--   Allow Book4Golf.com to gain usage of the AWA Vacations call
     center for handling sales, service and fulfillment of golf
     vacation packages and tee time reservations.

--   Integrate Book4Golf.com member courses' tee-sheets into these
     vacation packages in an effort to drive golf vacationers and golf
     travelers to Book4Golf.com member courses, thereby increasing
     golf course utilization and profitability.

--   Allow golfers to book golf vacations for individuals, corporate
     groups and tournaments, making the Book4Golf.com Web site the
     optimum tool for meeting planners.

--   Create an Internet hot-link between America West Airlines' Web
     site (www.americawest.com) to Book4golf.com.


The consideration for the America West Golf Vacations acquisition will be common shares and share purchase warrants (the &uot;Warrants&uot;) of Book4Golf.com. The number of Warrants will be based, in part, upon certain performance driven criteria in the future. Book4golf.com has reserved a price of CDN (Content Delivery Network) A system of distributed content on a large intranet or the public Internet in which copies of content are replicated and cached throughout the network. $18.53 per share for the common shares to be issued to The Leisure Company and CDN$22.00 per common share for the common shares to be purchased upon the exercise of the Warrants.

America West Golf Vacations was developed as a brand of The Leisure Company as a result of consumer demand for golf packages. The Leisure Company, one of the nation's largest tour packagers, is a wholly owned subsidiary of America West Holdings Corporation, an aviation and travel services company with 1999 sales in excess of $2.2 billion.

America West Golf Vacations arranges complete golf vacation packages including air, hotel accommodations, rental car and guaranteed tee times at premier golf courses in Arizona, Nevada, California and Mexico and has direct relationship with 110 golf courses.
