America Online, Inc. today announced the creation of a new AOL (A division of Time Warner, Inc., New York, NY, www.aol.com) The world's largest online information service with access to the Internet, e-mail, chat rooms and a variety of databases and services.  Networks Sales and Solutions division to capitalize on growth opportunities in its advertising, search and commerce businesses resulting from its recent success in developing its broadband services, introducing rich media across its services, and adding a wide range of valuable new properties and inventory.

The new division will integrate in one organization America Online, Inc.'s ad sales, commerce and search inventory across its entire network of broadband, dialup, messaging, wireless, new content and web-based properties. This integration will unlock the potential of America Online, Inc.'s expanding and increasingly diverse inventory by making it easier for marketers to reach the Company's audience base across these properties in a more effective and targeted way.

Michael J. Kelly, currently President, Global Marketing at Time Warner Inc., AOL's parent company, has been appointed President of the new division. Mr. Kelly will report to Ted Leonsis, Vice Chairman, America Online, Inc. and President, Core Service. (He is not related to J. Michael Kelly This could refer to:

While running Global Marketing, Mr. Kelly built and led a team that expanded Time Warner's relationships with its largest advertising and marketing clients, growing revenue through successful programs and initiatives that leveraged Time Warner's portfolio of companies and brands. A replacement for Mr. Kelly at Global Marketing is expected to be named shortly.

Reporting to Mr. Kelly in AOL Networks Sales and Solutions will be the group currently managing inventory and traffic operations in AOL's core service, led by David Lebow, as well as the Company's advertising sales operations, which will be headed by Michael Barrett.

Mr. Lebow will have the title of Executive Vice President/General Manager, AOL Media Networks. He will oversee the management of partner and member-facing traffic and inventory across AOL's properties; the development of media plans and research for partners advertising in those properties; marketing and events aimed at the advertising community; radio network development; AOL.COM; and Member Education. His group will also continue to use the AOL network of inventory to promote and increase usage of Company products including premium services, AOL for Broadband and others.

Mr. Barrett has been named Executive Vice President, Sales and Partner Marketing, with responsibility for agency sales, partner sales, category sales, customer relations, sales training and specialist activities.

Also reporting to Mr. Kelly will be Brendan Condon, currently Senior Vice President, Finance and Operations, Interactive Marketing, who will have the title of Senior Vice President, Finance and Administration in the new division.
