AmeriNet and Custom Software Systems, Inc. Sign Letter of Intent.

AmeriNet Group.com, Inc. (&uot;AmeriNet&uot;) (OTCBB:ABUY) announced today that it has signed a letter of intent to acquire Custom Software Systems, Inc., of Houston, Texas (&uot;CSSI&uot;). The transaction would be effected through an AmeriNet subsidiary, Wriwebs.com., Inc. (&uot;WRI&uot;).

Custom Software Systems, Inc., a Virginia company formed in 1990, is a high technology software firm with extensive experience in designing and developing database driven Web applications and Intranet solutions. CSSI's software specialties include system analysis, product integration, database integration, multi-media repository management and full life-cycle support including task management, documentation, customer interface, and staff training. CSSI's senior staff has extensive backgrounds in Internet, database, client server, re-engineering, decision support and real time systems.

CSSI helped pioneer Intranet/Extranet applications for NASA beginning in 1994, developing global applications including document and multi-media repositories, JAVA client server systems, and dynamic database HTML generators. CSSI has also helped lead several critical successful projects for government and commercial clients including four NASA International Space Station information systems prime contractors such as The Boeing Company, and has recently won a long term contract with Indyne, Inc., in support of the Johnson Space Center Imagery Processing and Support System. CSSI staff have also received numerous awards from NASA and The Boeing Company for quality, achievement and cost savings. In addition, CSSI was also the e-commerce theater sponsor at the 1999 Information Technology Exposition and Conference in Austin, Texas. In support of NASA's prime contractors, CSSI staff has created a number of innovative tools and has led or participated in the development of their applications. Representative of these are:

- a Web-based document management system used by thousands of Space Station project participants world-wide.

- a JAVA based scanned document imaging system, and

- a Web-based multi-media processing, management and query system.

In addition to its public sector experience, CSSI recently launched a commercial division dedicated to applying its vast government Intranet experience to the commercial marketplace where the NASA byline of &uot;better, faster and cheaper&uot; is also critical in order for companies to compete in the evolving virtual world economy. Experienced commercial electronic commerce staff have joined CSSI to help lead this endeavor. CSSI has already attained a credible commercial portfolio and is under contract or in negotiations to build several Intranet/Extranet systems for clients in the medical, energy, and retail industries and an e-commerce virtual mall. Other CSSI clients include, or have included, The Boeing Company, Indyne, Inc., E*Time Solutions, Inc., Alert Technologies, Barrios Technology Inc., IDEX Systems, Inc., TRICOR Industries, I-Net Inc., Duley, Watkins and Associates, Alliance Inc., Sprint International and Atlantic Research Corporation.

As currently proposed, WRI would acquire all of CSSI's capital stock in exchange for $600,000 in shares of AmeriNet's common stock. AmeriNet would invest $400,000 in CSSI over a 180 day period following the completion of the CSSI audit required under the Exchange Act.

As of December 31, 1999, CSSI had a net tangible book value of approximately $75,000 and had gross sales of $900,000 and a net loss before taxes of $25,000 for the most recent fiscal year (unaudited). Since July of 1999, CSSI has expended a material quantity of its income, time and resources to implement its diversification strategy which reduced its profitability for the period. However, such investments, especially in conjunction with the synergy expected to result from an association with AmeriNet and its subsidiaries, are expected to greatly improve CSSI's profitability over a relatively brief period of time.

The parties are now drafting definitive agreements and hope to conclude the proposed acquisition during the month of February.
