 (&uot;CSSI&uot;). The transaction would be effected through an AmeriNet subsidiary, Wriwebs.com., Inc. (&uot;WRI&uot;).

Custom Software Systems, Inc., a Virginia company Virginia Company, name of two English colonizing companies, chartered by King James I in 1606. By the terms of the charter, the Virginia Company of London (see London Company) was given permission to plant a colony 100 mi (160 km) square between lat. 34°N and lat.  formed in 1990, is a high technology software firm with extensive experience in designing and developing database driven Web applications and Intranet solutions. CSSI's software specialties include system analysis, product integration, database integration, multi-media repository management and full life-cycle support including task management, documentation, customer interface, and staff training. CSSI's senior staff has extensive backgrounds in Internet, database, client server, re-engineering, decision support and real time systems.

 would acquire all of CSSI's capital stock in exchange for $600,000 in shares of AmeriNet's common stock. AmeriNet would invest $400,000 in CSSI over a 180 day period following the completion of the CSSI audit required under the Exchange Act.

Since July of 1999, CSSI has expended a material quantity of its income, time and resources to implement its diversification strategy which reduced its profitability for the period. However, such investments, especially in conjunction with the synergy expected to result from an association with AmeriNet and its subsidiaries, are expected to greatly improve CSSI's profitability over a relatively brief period of time.
