, Trilogy International, Inc. ("Trilogy"), has signed a distribution agreement with Dr. Fukman Yip ("Dr. Yip"), a Connecticut resident with offices in Zhong Shan City, Guangdong Province Noun 1. Guangdong province - a province in southern China

 in the Peoples' Republic of China ("China"). Trilogy is a Florida corporation engaged in the development and marketing of safe, wholesome and effective pet nutrition and care products.

The agreement:
-- Grants Dr. Yip exclusive rights to distribute Trilogy's products in China,
including all of its provinces, "self governed regions" (including Hong Kong
and Macau) and all of its "designated special districts" (other than Taiwan);

-- United States legal entity (e.g., a corporation, limited liability company,
etc.), in which he must retain control but anticipates that such United States
entity will enter into an agreement with a legal entity organized under the
laws of Hong Kong, which will carry out the contemplated distribution; and

-- Has an initial term of five years and subsequent renewal options, however,
the exclusive aspects of the agreement can be retained only if it results in
direct purchases from Trilogy equal to at least half of its gross domestic
sales, or annual amounts ranging from $500,000 during the first year to
$25,000,000 during the fifth year.

. Anticipating the demand for quality pet care products that Dr. Yip predicts, he and a number of his Asian business contacts intend to establish approximately 300 franchised pet stores in China within the next five years.

Its economy grew at an annual rate of 7.1% during the year ended December 31, 1999, capping two decades in which its economy experienced an average annual growth rate of 9.8%. While United States sales to China during calendar year 1999 were approximately $165 billion, Chinese sales to the United States were approximately $195 billion (out of total worldwide exports by China of $325.1 billion), resulting in a trade deficit of $30 billion. China projects that its imports will exceed $1.3 trillion from 2000 to 2005 and the United States government is determined to reduce the existing deficit by aggressively promoting United States exports to China. Trilogy hopes to take full advantage of the economic opportunities that the administration's policies produce.

Commenting on the agreement, Carol Berardi, Trilogy's president noted that: "While most sales of Trilogy's products are conducted through Internet-based network marketing representatives, such arrangements are not currently permitted within China and Trilogy had not anticipated access to Chinese markets for the foreseeable future. The opportunity to commence penetration of the Asian market presented by Dr. Yip materially accelerates Trilogy's product export plans."
