AmeriNet Group Intends to Enter Multi-Billion Dollar Travel Industry.

AmeriNet Group.com, Inc. ("AmeriNet") (OTCBB:ABUY) announced today that it has entered into a letter of intent to acquire all of the capital stock of Vista Vacations International, Inc., a Florida corporation ("Vista"). As currently contemplated, AmeriNet will acquire Vista in exchange for $450,000 in AmeriNet common stock. AmeriNet intends to invest approximately $650,000 in Vista during the first year after its acquisition, with $125,000 to be invested at the closing which the parties hope to complete shortly. Vista's stockholders could receive up to 750,000 additional shares of AmeriNet common stock if Vista meets an aggregate, post closing , pre-tax net profit target of $2,800,000 by June 30, 2003. Operating control of Vista would remain vested in its current management.

Vista, specializing in the cruise industry, is currently implementing a state of the art Internet based system utilizing cutting edge technology, which will allow its home based agents to book travel online and acquire comprehensive information on exclusive cruise line discounts, sailing dates and itineraries. Vista utilizes a network of home-based agent members to sell cruises, tours and travel packages to consumers, and whose agents earn commissions on sales and bonuses for recruiting new members. Vista works closely with the Carnival Family of Cruise Lines including Carnival, Holland America, Windstar, Seabourn, Cunard and Costa. The company charges its agents a one-time membership fee of $479, with associate members residing at the same address eligible for discounted membership at $199. During their first calendar year, new member agents and their associates receive a complimentary two-night cruise aboard a Cape Canaveral Cruise Line's vessel and a three-day stay at one of Vista's participating resorts (located all over the United States), giving them valuable travel experience and sales motivation. Reflecting Vista's commitment to providing its member agents the education and tools necessary to run professional and profitable travel businesses, it has gained special permission to use Cruise Line International Association's (CLIA's) educational materials as part of the requirement to maintain agent status. In addition, Vista requires its agents to work toward attaining CLIA's Accredited Cruise Counselor designation.

According to CLIA research, between 6.5 million and 7 million passengers will sail on a cruise vacation this year and, over the next five years, the cumulative market potential for the cruise industry is expected to reach between $54 billion and $97 billion. Although Vista is less than a year old, its gross sales are already $1.2 million and it has 400 home-based agents, projected to reach 1,000 by year end. Vista has agreed to retain Wriwebs.com, an AmeriNet subsidiary specializing in website design, to further develop and host a state of the art website that will provide home-based Vista agents with on-line reservations capability available 24 hours a day, 7 days a week, as well as with access to continuing professional education and training. According to Ms. Nadler, this website will be a major benefit to Vista's network of home-based agents because it is virtually impossible for such independent entrepreneurs to find convenient sources of high quality professional training.
