AmeriGas Agrees to Acquire U.S. Propane Distribution Business of Shell.

VALLEY FORGE, Pa. -- AmeriGas Partners, L.P. (NYSE:APU), announced that its operating partnership has agreed to acquire Shell Gas (LPG) USA, which owns and operates a retail propane distribution business. The business sells over 13 million gallons of propane annually to nearly 20,000 customers from twelve locations in Michigan. Terms of the transaction were not disclosed. The sale, which is subject to customary closing conditions, is expected to occur during the second quarter of calendar year 2007.
