Amdocs Limited Announces Pricing of Public Offerings of Primary and Secondary Shares and of TRACES.

) today announced that the offering of 18 million of its ordinary shares by certain selling shareholders and two million ordinary shares by the Company was priced at $22.44 per share. The selling shareholders in the offering include the Company's principal shareholders, Welsh, Carson, Anderson & Stowe, SBC (1) (SBC Communications Inc., San Antonio, TX, www.sbc.com) A large, national telecommunications company that grew from a multitude of local and regional companies, including Southwestern Bell, Pacific Bell and Nevada Bell, into a single, unified brand by 2002.  International Inc. and Amdocs International Limited, a private investment company.

In addition, a separate offering of 10 million Amdocs TRACES (Trust Automatic Common Exchange Securities) was priced at $22.44 per security. The Amdocs TRACES (NYSE:AAE AAE American Association of Endodontists. ) are hybrid equity securities that will be automatically exchanged for ordinary shares or for cash at maturity in three years at the election of the selling shareholder. Each Amdocs TRACES represents the right to receive an annual distribution (paid out quarterly) of $1.51. At maturity, Amdocs TRACES will be exchanged for between 0.84 shares and one Amdocs ordinary share that will be provided by the participating selling shareholder.
