Ambulatory Resource Centres Announces Acquisition of Memphis-Based Healthcare Company.

NASHVILLE, Tenn.--(BUSINESS WIRE)--Feb. 18, 1998--Ambulatory Resource Centres, Inc. (ARC), a Nashville-based healthcare company, today announced that it will acquire Ambulatory Management Services (AMS) of Memphis. ARC, which recently announced its launch, has experienced rapid growth. This acquisition brings the company's current base of operations to 7 centers in 5 states, with an additional 5 centers under development.

ARC operates freestanding outpatient surgical and diagnostic centers in joint-ownership with physicians and physician groups, practice management companies, payers, hospitals and hospital networks. ARC assists its partners in enhancing their outpatient services through new outpatient centers, as well as the acquisition and expansion of existing centers. ARC does not own or manage physician practices; rather, ARC helps its physician partners participate in additional outpatient network development.

Under the terms of the agreement being announced today, ARC will acquire Ambulatory Management Services (AMS), a provider of comprehensive project development and management services for freestanding ambulatory surgery centers. AMS currently manages 4 ambulatory surgery centers, co-manages one center, and is contracted to develop and manage 3 additional centers opening in 1998. AMS also provides billing services for five anesthesiology groups.
