) is pleased to announce that Amarc has completed the financing announced on January 29, 2004, comprising 2,000,000 units for gross proceeds of $1.5 million. Each unit consists of one common share and a share purchase warrant exercisable to purchase an additional common share for a one year period. The common shares in the units and the shares issuable on exercise of the warrants will be subject to a four month resale restricted period.

The Company's proposed investment in American Bullion Minerals Ltd. that was also announced in January will not proceed as Court approval was not secured. The financing funds will be re-directed to work on the Company's recent acquisitions and developing new plays for the discovery of major new mineral deposits in British Columbia British Columbia, province (2001 pop. 3,907,738), 366,255 sq mi (948,600 sq km), including 6,976 sq mi (18,068 sq km) of water surface, W Canada.
