AmSurg Corp. Signs Definitive Agreement With Physicians Resource Group for Purchase of Surgery Center Interests; AmSurg is Managing the Operations of 15 PRG Surgery Centers.

NASHVILLE, Tenn.--(BUSINESS WIRE)--Feb. 1, 2000

Ken P. McDonald, President and Chief Executive Officer of AmSurg Corp, (Nasdaq/NM:AMSGA)(Nasdaq/NM:AMSGB) today announced the signing of a definitive agreement with Physicians Resource Group, Inc. (&uot;PRG&uot;) for the purchase by AmSurg of PRG's interests in a portion of its single specialty ophthalmology ophthalmology (ŏf'thălmŏl`əjē), branch of medicine specializing in the anatomy, function and diseases of the eye. Ophthalmologists specialize in the medical and surgical treatment of eye disorders, vision measurements for  ambulatory surgery centers ambulatory surgery center A free-standing center that performs various types of surgery . As part of the agreement, AmSurg is currently managing the operations of 15 centers. The agreement provides that AmSurg will purchase PRG's interest in 11 of these 15 centers for approximately $40 million in cash. The agreement also provides that AmSurg may purchase additional centers upon completion of satisfactory due diligence Research; analysis; your homework. PRG has filed for bankruptcy in the United States The United States Constitution (Article 1, Section 8, Clause 4), authorizes Congress to enact "uniform Laws on the subject of Bankruptcies throughout the United States." Congress has exercised this authority several times since 1801, most recently by adopting the Bankruptcy Reform Act of  Bankruptcy Court bankruptcy court n. the specialized Federal court in which bankruptcy matters under the Federal Bankruptcy Act are conducted.
