Altiris Expands Product Offerings Through Key Technology Acquisition; Altiris Adds Patented, Web-Based System Backup and Recovery Technology.

Altiris(R) Inc. (Nasdaq:ATRS), a leader in systems management solutions that reduce the total cost of owning information technology, today announced that it has signed a definitive agreement to acquire system backup and recovery technology from Previo Inc. (Nasdaq:PRVO), a San Diego-based software company.

Previo currently offers patented, Web-based software to a global customer base, including Motorola, Toshiba and Florida Power and Light.

Financial terms of the transaction were not disclosed. The company will discuss more details of this transaction, including financial expectations on the second quarter conference call scheduled for Wednesday, July 24, 2002 at 5 p.m. EST .

This acquisition expands Altiris' IT lifecycle management offerings in the area of problem resolution. Today, Altiris offers systems management solutions that enable IT administrators to effectively deploy, migrate and manage all of the computers in their network.

With the addition of system backup and recovery technology, Altiris can now satisfy another critical customer need -- simplifying the process of recovering and restoring lost data on mobile or desktop PCs.

Fred Broussard, senior analyst at IDC, stated "Enterprise organizations are looking for easier ways to protect and recover data on their mobile or desktop PCs. It makes sense to include data restoration and client back up in software that manages desktops, laptops and handheld devices. This is a logical extension of lifecycle management for many companies."

Under the terms of the agreement, Altiris will purchase the technology and related intellectual property of Previo, pending Previo shareholder approval.

Under an existing license agreement with Previo, Altiris may immediately begin to market a customized version of the technology, to be known as Altiris Client Recovery Solution(TM), under the Altiris brand and through its partners and sales channels. In addition, Altiris will provide support for existing Previo Esupport Essentials customers.

"Laptop users stand to gain the most from system rollback capabilities because they are the least protected," according to Ron Neher, principal staff scientist, Motorola (Previo customer). "For them rollback provided a far better solution than backing up to a Zip drive. This technology efficiently backs up everything and can restore everything to a previously known state."

Altogether, Neher and his team achieved $6 million in savings their first year after implementing this technology.

"System rollback technology fits cleanly into Altiris' existing product line and with their overall strategy," said Jeff Wood, national director of CompuCom's Asset Management Practice. "We see significant value for our customers. This will allow us to offer a fuller set of management solutions that have an even greater return on investment."

Complete integration of Client Recovery Solution into the existing Altiris eXpress(TM) infrastructure will begin immediately based on the existing license agreement. Integration will allow customers to run reports, receive alerts and set system backup and restoration policies all from a single Web-based console significantly enhancing business continuity and data protection strategies.

Using this technology, IT administrators can remotely restore a lost file to a mobile user while patented redundant file elimination reduces network bandwidth consumption and required disk storage space.

Altiris plans to integrate the Client Recovery Solution with Microsoft Systems Management Server -- providing the ability to make a snapshot of the machine prior to executing a software installation advertisement that allows the administrator to revert back to any previous state.
