Alltel to Sell Cellular One Brand, Rural Wireless Market in Arkansas; Transactions Complete Divestiture Requirements of Western Wireless Merger.

: AT) today announced agreements to sell the Cellular One brand to Dobson Cellular Dobson Cellular Systems, Inc., is a wireless telecommunications provider in several regions of the United States, including Alaska, Arizona, Kansas, Kentucky, Maryland, Michigan, Minnesota, Missouri, New York, Ohio, Oklahoma, Pennsylvania, Texas, Virginia, West Virginia and  Systems, Inc., and a Rural Service Area (RSA (1) (Rural Service Area) See MSA.

(2) (Rivest-Shamir-Adleman) A highly secure cryptography method by RSA Security, Inc., Bedford, MA (www.rsa.com), a division of EMC Corporation since 2006. It uses a two-part key.

The agreements, subject to federal regulatory approval, will complete divestiture requirements related to Alltel's merger with Western Wireless Corp.

Alltel will receive $1.3 million in cash from Dobson for the Cellular One brand and expects to the close transaction before the end of the year.

Terms of the Cingular transaction, which is expected to close in the first quarter of 2006, were not disclosed. The Arkansas wireless market covers Hempstead, Nevada, Lafayette and Columbia counties. Alltel will retain ownership of the wireless property in those counties that it operated prior to the merger with Western Wireless.

The financial and legal advisers for Alltel in the transactions were Daniels & Associates L.P. and Kutak Rock LLP LLP - Lower Layer Protocol .

Alltel is a customer-focused communications company Communications Company is a communications unit of the United States Marine Corps. They are part of Combat Logistics Regiment 37 , 3rd Marine Logistics Group (3MLG) and III Marine Expeditionary Force (III MEF).
