DEERFIELD, Ill.--(BUSINESS WIRE)--Jan. 8, 2003

") announced today that it merged with U.S. Consolidated Industries, Inc., Flossmoor, Illinois, an inactive public company.

The merger was effective Jan. 1, 2003, with 8,904,147 shares issued and outstanding.

Rick Kurtz, president and COO, said: "We believe our new public posture will enhance our ability to build our global business. Our goal is to become a reporting company to the Securities and Exchange Commission ("SEC") as soon as possible, and, when we meet the listing requirements, to make application for trading on the Nasdaq system."
