The Company's completion of its annual financial statements for its fiscal year ended January 31, 2004, and its independent auditor's completion of the audit of such financial statements, are pending as a result of the additional audit procedures associated with the Company's acquisition of dELiA*s Corp. in September 2003. The Company was unable to complete such financial statements, and the auditors were unable to complete their audit of such statements, by April 15, 2004 without unreasonable effort or expense.
