New York City City (pop., 2000: 8,008,278), southeastern New York, at the mouth of the Hudson River. The largest city in the U.S. time on May 11, 1995 of its offer to purchase for cash all $110,000,000 principal amount of its 10% Senior Subordinated Notes due December 1, 2003. The Offer was made pursuant to an Offer to Purchase dated April 12, 1995. A total of $109,500,000 principal amount of Notes was validly tendered and accepted for payment by Allison. The purchase price for each $1,000 principal amount of Notes purchased in the Offer, as calculated as of 4:00 p.m., New York City time, on May 9, 1995, is $1,128.58, plus accrued ac·crue v. ac·crued, ac·cru·ing, ac·crues v.intr. 1. To come to one as a gain, addition, or increment: interest accruing in my savings account. 2. and unpaid interest to (but not including) the date of payment of such purchase price which is scheduled to occur on May 18, 1995. In connection with the Offer, Allison sought and received consents from the holders of record of a majority in aggregate principal amount of outstanding Notes to certain amendments to the Indenture An agreement declaring the benefits and obligations of two or more parties, often applicable in the context of Bankruptcy and bond trading. The term indenture primarily describes secured contracts and has several applications in U.S. law. under which the Notes were issued.
