Alliance Gaming Announces Re-Election of Two Board Members and Dividend Record Date for Series E Special Stock.

LAS VEGAS--(BUSINESS WIRE)--Dec. 4, 1998--Alliance Gaming Corp. (Nasdaq:ALLY) announced that at its Annual Meeting yesterday its shareholders re-elected Jaque Andre and Michael Hirschfeld to the company's board of directors, each for a three-year term.

In addition, the company also announced that its board of directors established Dec. 18, 1998, as the record date for the company's 11.5 percent Non-Voting Junior Convertible Pay-in-Kind Special Stock, Series E, which dividend will be payable on Jan. 1, 1999. Shareholders of record as of Dec. 18, 1998, will be entitled to $2.875 per share.

At the election of the board of directors, the dividend will be paid in additional shares of the Series E Special Stock based on the liquidation value of $100 per share. Accordingly, for each share of Series E Special Stock held, stockholders will receive .02875 new shares of the Series E Special Stock.
