) -- Alliance Forest Products Inc. and Kimberly-Clark Corporation have signed today an asset purchase agreement for the acquisition by Alliance Forest Products Inc. of Kimberly-Clark's Coosa Pines facilities, located near Birmingham, Alabama Birmingham (pronounced [ˈbɝmɪŋˌhæm]) is the largest city in the U.S. state of Alabama and is the county seat of Jefferson County. , for approximately US$600 million, as announced on December 16, 1996. The acquisition will be funded through a combination of debt and equity.

The transaction, which is subject to completion of financing by Alliance Forest Products Inc. and other customary conditions, is expected to close toward the end of the first quarter of 1997. The companies also agreed to a five-year supply contract under which Kimberly-Clark will purchase a significant portion of the pulp produced at the Coosa Pines facilities.

The Coosa Pines facilities include a fully integrated paper mill which produces 308,000 tonnes of newsprint and 85,200 tonnes of groundwood printing paper a year. Its newsprint contains 40 percent recycled fibre which is produced at the mill's deinking facility. In addition to fulfilling its internal pulp requirements, the Coosa Pines facilities produce and market 222,000 tonnes of fluff pulp and 50,000 tonnes of Southern Bleached Hardwood Kraft pulp (SBHK). The facilities also include 146,000 hectares of timberland and a sawmill sawmill, installation or facility in which cut logs are sawed into standard-sized boards and timbers. The saws used in such an installation are generally of three types: the circular saw, which consists of a disk with teeth around its edge; the band saw, which  with a production capacity of 51 million fbm.
