Alliance Atlantis Special Resolution Approved At Annual And Special Meeting Of Shareholders.

TORONTO--(BUSINESS WIRE)--Sept. 24, 1999--

ALLIANCE ATLANTIS COMMUNICATIONS INC. (TSE, ME: AAC.A, AAC.B, NASDAQ: AACB) today announced that at its annual and special meeting of shareholders held on September 23, 1999, the shareholders approved amendments to the articles of ALLIANCE ATLANTIS to create a new class of shares, Class D Special Non-Voting Shares, in furtherance of its previously announced agreement with a purchaser consisting of the major shareholders of Kinowelt Medien AG.

As a result of this approval, the Class B special warrants and hybrid special warrant of the purchaser will be deemed to have been exercised, resulting in the issuance of 6,276,317 Class B Non-Voting Shares and one Class D Special Non-Voting Share to the purchaser on October 7, 1999.

Additionally, ALLIANCE ATLANTIS announced that all outstanding Preferred Shares have been tendered for redemption, resulting in payments to the preferred shareholders of approximately $51.9 million, which amount had been previously set aside in anticipation of this required redemption.
