The registration statement provides that ATI intends to use the net proceeds from the sale of any securities for general corporate purposes, including but not limited to, repayment, redemption or refinancing of debt, capital expenditures, investments in or loans to subsidiaries and joint ventures, funding of possible acquisitions, for working capital needs, or for satisfaction of other obligations.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
