All-American SportPark Withdraws Appeal of Nasdaq Staff Determination.

) today reported that it has withdrawn its appeal to Nasdaq regarding the company's inability to comply with the minimum bid price requirement for continued listing set forth in Nasdaq Marketplace Rule 4310 (c)(4).

As a result, the company's securities are subject to delisting from the Nasdaq SmallCap Market. Once delisted from Nasdaq, the company's securities will trade on the Over the Counter (OTC OTC

The company had requested a hearing before a Nasdaq Listing Qualifications Panel ("panel") to review the staff determination. This hearing request would have stayed the delisting of the company's securities pending the panel's decision.

Based on discussions with Nasdaq's chief counsel and the company's securities counsel, management of AASP concluded that it would be nearly impossible to prevail in its appeal because of (1) the stringent Nasdaq requirements for continued listing and (2) the time period by which sustained compliance with such requirements would have to be met.
