The final prospectus must be given to every investor who purchases a new issue of registered securities.

Different classes of shares, such as preferred stock, sometimes don't allow for voting rights.
 (the "Class B Shares") to be delivered upon exercise of the special warrants (the "Special Warrants") previously issued by the Company pursuant to a private placement (the "Private Placement") completed on April 8, 1998. On April 8, 1998 the Company and certain selling shareholders sold the Special Warrants pursuant to the Private Placement and 1,090,000 Class B Shares pursuant to a concurrent placement by prospectus in Quebec. The offering was underwritten by Levesque Beaubien Geoffrion Inc. and Deacon Capital Corporation.

The gross proceeds to the Company from the distribution of the Special Warrants and the concurrent placement by prospectus in Quebec, in the amount of $40M, will be used to reduce the Company's long-term debt Long-Term Debt

Loans and financial obligations lasting over one year.

Notes:
For example debts obligations such as bonds and notes which have maturities greater than one year would be considered long-term debt.
 with the view to enabling the Company to pursue its expansion strategy. Gross proceeds to the selling shareholders were $4M.

Alimentation Couche-Tard Inc. is the leader in the Quebec convenience store industry with a network of 580 stores. The Company has also established a strong base in Ontario and Western Canada with 50 stores operating under the Wink's banner.

The Class B Shares of Alimentation Couche-Tard Inc. are listed on the Montreal Exchange Montreal Exchange
