Total revenue for the third quarter of 2002 increased to $32.1 million, a 27% increase over the same period in 2001. Contract revenue for the third quarter of 2002 increased to $19.0 million, representing a 24% growth compared to contract revenue of $15.4 million during the third quarter of last year. Recurring royalties for the third quarter of 2002 were $13.1 million, a 32% increase over recurring royalties of $9.9 million in the third quarter of 2001. Total revenue for the nine-month period ending September 30, 2002 increased to $91.3 million, an increase of $18.6 million, or 26%, compared to total revenue of $72.7 million during the same period in 2001. Contract revenue for the first nine months of 2002 increased 23% to $53.5 million, compared to contract revenue of $43.4 million for the comparable period in 2001. Recurring royalty revenue for the first nine months of 2002 increased by 29% to $37.9 million, compared to recurring royalty revenue of $29.3 million during the first nine months of 2001.

Net income for the nine-month period ending September 30, 2002 was $29.5 million, or $0.88 per share on a diluted basis, representing a 17% increase compared to net income during the first nine months of 2001. Net income for the comparable period in 2001 was $25.1 million, or $0.74 per share on a diluted basis.

During the third quarter of 2002, AMRI added a net of 23 scientists. The total number of employees at AMRI's five locations at the end of September 2002 was 600, including 403 scientists.

At September 30, 2002, AMRI had cash, cash equivalents and investments of $121.2 million, compared to $114.5 million at June June: see month.  30, 2002. The net increase of $6.7 million in cash, cash equivalents and investments in the third quarter of 2002 was due primarily to cash generated from operations of $11.2 million, offset by the repurchase re·pur·chase

Organichem

Total revenue at Organichem Corporation, an unconsolidated affiliate of AMRI, was $16.1 million in the third quarter of 2002, a 15% decrease compared to the third quarter of 2001. Total revenue at Organichem for the nine-month period ending September 30, 2002 was $62.9 million, a 17% increase over the same period in 2001. Net income at Organichem decreased 18% to $933,000 in the third quarter of 2002, and increased 16% to $4.5 million for the nine-month period ending September 30, 2002. Organichem's results for the third quarter of 2002 were impacted by the timing of certain customer projects that were anticipated to be completed in the third quarter of 2002. Those projects are now expected to be completed in the fourth quarter of 2002, with no change to the previously provided full-year 2002 net income guidance of approximately $7.0 million. Earnings Guidance

This guidance continues to assume we complete the full merger with Organichem Corporation at the end of the first quarter 2003. Under our December December: see month.  1999 investment agreement with Organichem, AMRI has the option to purchase the remaining Organichem shares in early 2003, subsequent to the completion of Organichem's 2002 audited financial statements. The purchase price is to be determined based on Organichem's financial performance in the year 2002. At this time it is estimated that the purchase price would be $30 million."

-- The repurchase by AMRI of 83,773 shares of its common stock under the Stock Repurchase Program approved by the board of directors in September 2001. AMRI has now repurchased a cumulative total of 1,000,000 shares of its stock, which represents the maximum shares authorized under the Stock Repurchase Program adopted in September 2001.

-- The adoption of a Shareholder Rights Plan designed to enhance the board of directors' ability to protect shareholder interests and ensure that shareholders receive fair treatment in the event that any coercive takeover attempt of AMRI is made in the future.

-- The announcement of two new drug discovery technologies: a series of unique small molecule, synthetic combinatorial chemistry libraries that will be available semi-exclusively for drug discovery purposes to a limited number of subscribers; and drug metabolism screening, metabolite profiling and scale-up capabilities. Both announcements were made in conjunction with the 7th Annual Drug Discovery Technology(TM) World Congress in Boston, MA during August.
