:S), today announced plans to initiate an offer to purchase its outstanding 12 percent Senior Discount Notes due 2009, 12.5 percent Senior Notes due 2011, 13.625 percent Senior Notes due 2011, 11 percent Senior Notes due 2010 and 8.5 percent Senior Notes due 2012 (the "Notes").

The offer to purchase will remain open until 5 p.m. EST on March 16, 2006, unless extended by the company in its sole discretion. The company will make a public announcement in the event that it extends the offer. All Notes properly tendered will be accepted for payment, subject to the terms set forth in the Notice of Change of Control and Offer to Purchase Statement dated Feb. 15, 2006. The indentures pursuant to which the Notes were issued require the company to offer to purchase the Notes upon a change of control. As a result of the merger of the company's parent with a wholly owned indirect subsidiary of Sprint Nextel Corporation, a change of control has occurred.
