) today announced that it proposes to offer and sell $250 million through the sale of convertible subordinated notes due 2007 in a private offering pursuant to Rule 144A Rule 144A

A Securities & Exchange Commission rule modifying a two-year holding period requirement on privately placed securities to permit qualified institutional buyers to trade these positions among themselves.
 under the Securities Act of 1933. In addition, the Company has granted to the initial purchasers an option to purchase up to an additional $50 million of convertible subordinated notes solely to cover over-allotments. The notes will be convertible into shares of the Company's common stock.

Proceeds from the offering will be used for working capital and general corporate purposes, including new service offerings and potential acquisitions of complementary businesses, products and technologies.
