The Registration Statement relates to the sale by the security holders identified in the Registration Statement of convertible subordinated notes due 2007 of Akamai and the shares of common stock of Akamai issuable upon conversion of the notes. The convertible notes were issued by Akamai in June 2000. The Registration Statement does not cover the sale of securities by Akamai and Akamai will not receive any proceeds from the sale of the convertible notes or the shares of the common stock issuable upon conversion of the convertible notes.
