AirTouch Communications Offers $650 Million of Notes.

SAN FRANCISCO--(BUSINESS WIRE)--July 11, 1996--AirTouch Communications (NYSE:ATI) today announced a public offering of $250 million of 7.125% notes due July 15, 2001 and $400 million of 7.5% notes due July 15, 2006. The 2001 notes were priced at 99.851 percent to yield 7.161 percent, and the 2006 notes were priced at 99.425 percent to yield 7.583 percent. The notes are being offered through Lehman Brothers, Merrill Lynch & Co., J.P. Morgan & Co., and Salomon Brothers Inc.

The company plans to apply the proceeds from the sale of the notes to satisfy the cash component of its acquisition of Cellular Communications Inc. (CCI) and for general corporate purposes. Pending such uses, the net proceeds will be applied to retire commercial paper.
