AirTouch Communications Names Lee Cox Vice Chairman; Makes New Appointments to Other Key Management Posts.

SAN FRANCISCO--(BUSINESS WIRE)--Nov. 21, 1994--AirTouch Communications (NYSE:ATI) today announced that its Board of Directors has named Lee Cox (Age 53) Vice Chairman of the Board of Directors and President, Domestic Wireless Businesses.

In addition, the company made other key executive changes in its international operations to support its expanding presence in the wireless industry.

Cox has responsibility for all domestic cellular, paging, PCS, and vehicle location operations for AirTouch Communications. As president of AirTouch Cellular, he is also in charge of the AirTouch and U S WEST joint venture announced in July, serving as president of the Wireless Management Company and chairman of the seven-member partnership committee that oversees the venture. In addition, Cox is a member of the management committee that governs the partnership announced in October which brings together the AirTouch and U S WEST cellular operations with those of Bell Atlantic and NYNEX. This joint venture will create the largest wireless communications presence in the country, serving more than four million customers.

Cox will continue to report to Sam Ginn, chairman and chief executive officer of AirTouch Communications. "Lee is recognized as one of the most capable wireless operators in the industry," Ginn said. "The scope of his responsibilities has grown along with the reach of our wireless operations and he now oversees more than 4,200 AirTouch employees across the country. His leadership and operating strengths will help AirTouch become one of the dominant players in the wireless industry in the decade ahead," Ginn added.

Reporting to Cox is Charlie Jackson, president of AirTouch Paging, John Lister, president of AirTouch Teletrac, and the seven senior executives at AirTouch Cellular. Together, these executives manage operations in more than 100 cities, serving more than 2.7 million customers across the country.

By mid 1995, when the U S WEST and AirTouch joint venture is expected to close, Cox will add the Wireless Management Company executives to his team of direct reports. This group of executives will have responsibility for achieving scope and scale efficiencies from combining the companies' cellular operations.

Other AirTouch executive moves were announced today following the appointment of George Schmitt, (Age 51) former executive vice president of AirTouch's international operations to the newly created position of president and chief executive officer of its national PCS partnership. The partnership, announced in October, includes AirTouch, Bell Atlantic, NYNEX and U S WEST and will bid on PCS licenses beginning December 5, 1994 under the name PCS PrimeCo.

Replacing Schmitt is Arun Sarin, (Age 40) who will become senior vice president corporate strategy/development, human resources and international operations. He will take on responsibility for the company's fast-growing cellular and paging ventures in 10 countries overseas, in addition to his current role as head of the strategy/development and human resources groups.

Reporting to Sarin in his new international operations role are Bill Keever and Lowell McAdam who are being promoted to officers of AirTouch International. Keever, vice president of technology at AirTouch's German cellular partnership will now become vice president for AirTouch International. McAdam, formerly executive director of applications and operations at AirTouch International, will become vice president for AirTouch International.
