AirNet Communications to Remain Listed on Nasdaq National Market; Company Has Until July 31, 2003 to Regain $1 Closing Bid Price Compliance.

) announced that the Nasdaq Listing Qualifications Panel ("Panel") has determined that AirNet may continue listing its securities on The Nasdaq National Market, with one condition.

On or before July 31, 2003, AirNet must evidence a closing bid price of at least $1.00 per share and, immediately thereafter, a closing bid price of at least $1.00 per share for a minimum of ten consecutive trading days.

In the event AirNet fails to comply with any of the terms of the exception or if the Company falls out of compliance with other requirements, its securities may be transferred to The Nasdaq SmallCap Market provided the Company is able to evidence compliance, as well as an ability to sustain compliance, with all requirements for continued listing on that Market. Otherwise, AirNet's securities will be delisted from The Nasdaq Stock Market Nasdaq stock market

The Panel reached its decision based upon a careful view of the entire record. Based upon this review and the oral hearing of May 15, 2003, the Panel was of the opinion that AirNet presented a definitive plan that will enable it to evidence compliance with all requirements for continued listing on The Nasdaq National Market within a reasonable period of time and to sustain compliance with those requirements over the long term. In order to achieve compliance, AirNet may be required to implement a reverse stock split, which will require shareholder approval.
