On Monday, May 13, 2002, a shareholder of the Company filed a lawsuit against AirGate PCS, Inc., Thomas M. Dougherty, Barbara L. Blackford, Alan B. The lawsuit seeks class certification and alleges that the prospectus used in connection with the secondary offering of Company common stock by certain former iPCS shareholders on December 18, 2002 contained materially false and misleading statements and omitted material information necessary to make the statements in the prospectus not false and misleading. The alleged omissions included (i) failure to disclose that in order to complete an effective integration of iPCS, drastic changes would have to made to the Company's distribution channels, (ii) failure to disclose that the sales force in the acquired iPCS markets would require extensive restructuring and (iii) failure to disclose that the "churn" or "turnover" rate for customers would increase as a result of an increase in the amount of sub-prime credit quality customers the Company added from its merger with iPCS. The Company believes these claims are without merit and intends to vigorously defend against these claims.
