") against Sterling Foster Inc. and certain of Sterling Foster's officers and employees. Sterling Foster is AVT's former underwriter.

AVT, and its respective directors, officers and employees, up until the time they learned of the NASDR complaint, had no reason whatsoever to believe that Sterling Foster or its employees had engaged in any improprieties in connection with the initial public offering of AVT's stock. To the extent the allegations against Sterling Foster and its employees may turn out to be true, AVT and its shareholders were the victims of these actions.

AVT and its directors, officers and employees are committed to cooperating fully with all regulatory authorities investigating the allegations against Sterling Foster.
