) was completed and executed by both parties.

ACT AUS owns the worldwide rights to the "SpectruCell" Multiple Protocol (CDMA (Code Division Multiple Access) A method for transmitting simultaneous signals over a shared portion of the spectrum. The foremost application of CDMA is the digital cellular phone technology from QUALCOMM that operates in the 800 MHz band and 1.9 GHz PCS band. ,GSM,3G) Wireless Base Station currently under production in Australia, while ACT USA has the licensing and distribution rights for "SpectruCell" throughout the North and South American continents. ACT AUS also owns a majority interest in Australon Pty Ltd, a LonWorks technology company specializing in the development, production and sale of "leading edge" technological applications of the LonWorks technology.

The Chief Executive Officer, Roger May, also announced that following several months of discussions, Senior management of Mitsui & Co. and Advanced Communications Technologies met at the Mitsui headquarters in Tokyo, Japan to pursue discussions in regard to Mitsui, and ACT AUS and ACT USA forming a strategic relationship in connection with several aspects of the SpectruCell Multiple Protocol Wireless Base Station Technology.

Mitsui's position as one of the world's premier equipment distribution companies makes it the perfect strategic partner for the distribution of the SpectruCell multiple protocol wireless base station technology. The discussions also included the marketing and distribution of SpectruCell through Mitsui's 150 offices around the world, as well as a possible joint venture rollout of SpectruCell wireless networks in several South American countries List of American countries

These companies have all expressed significant interest in Australon products for applications in building and home automation and electrical products manufacture. Agreements have been initiated, by these companies, for Australon to provide product as per specification.

The value of these orders is in excess of $AU 200 million, with many more additional orders expected during the next few weeks as a result of the Asian trip.

The transaction is in process awaiting completion of the independent valuation from Deloitte, Touche Tohmatsu, and the regulatory approval of the transaction from the Australian Stock Exchange. At the completion of the acquisition Australon will receive AU$25 million from cash on hand and options.

Once the ASX compliance requirements have been met and approved, Australon Ltd will be the surviving publicly listed company with ACT AUS having a substantial majority control.

Australon's position as one of only a small number of LonWorks independent developers (L.I.D.'s) in the world, together with its proprietary interface board for the rapid production of complicated network control applications has produced a snowball effect in attracting new business. Australon plans to open offices on the west coast of America in the near future.

ACT USA (ADVC)'s recent acquisition of a twenty percent (20%) equity interest in ACT AUS means it will benefit substantially from the Australon Pty Ltd merger.

ACT has yet to find or identify a legitimate competitor for its leading edge SpectruCell technology, the prototype of which is scheduled for release in the third quarter of 2000.
