There are two proposed tranches in the placement with the initial placement being for $1 million, which is anticipated to be funded before the end of July, 2000, and the second funding is for $12 million, with an agreed upon payment schedule.

) in January 2000, from PriceWaterhouseCoopers Securities in Australia, relocated permanently to the ACT Inc. office in Irvine, California on June 27th, 2000. Mr. Norton has transferred to the US to assist with finalizing several mergers and acquisitions, as well as to help expand both the corporate and sales and marketing infrastructure of ACT Inc. in the US.

His knowledge of the Australian operations combined with his several years of business experience in the USA prior to joining PWC back in Australia, will be of great assistance to ACT, Inc.
