The $2 million stock-and-cash acquisition of TRI brings new enhanced service offerings to ADG just days after the announcement that the company had secured a financing commitment to begin the installation of its local switching network. "The combination of the local switching network and the addition of these expanded high-tech services from the TRI acquisition are both key steps in the execution of ADG's `Build Smart' strategy," states Richard O'Neal, chief executive officer of ADG.

James F. Cragg, president and chief operating officer Chief Operating Officer (COO)

The officer of a firm responsible for day-to-day management, usually the president or an executive vice-president.
of Advanced Communications, stated, "Through TRI's unique technology, ADG will offer customers some of the most advanced services available in the telecom industry including: enhanced voicemail, teleconferencing, calling card products, fax services and audio text. These services will allow ADG to provide a more complete `one stop' bundle of telecommunications services to its customers and will reduce our dependency on the incumbent local exchange companies (ILECs). With the acquisition of TRI and its enhanced products, we can now redefine marketplace competition. The new products we are acquiring from TRI will help level the competitive playing field as we compete with the ILECs."

TRI will continue to be managed by Richard McFarland, its chairman, who reports to Cragg. TRI employees will remain in Dallas and continue business operations from their Infomart facilities. The new service and product offerings will flow through TRI's existing Dallas-based fulfillment center to ADG's customers that subscribe to the new services.

TRI Chairman Rick McFarland stated, "Our employees are skilled in developing and servicing enhanced telecommunications products; which makes joining forces with ADG a beautiful fit. ADG has a proven sales capability. They also have approximately 100,000 business and residential customers that can use these enhanced products. By combining our products and their sales force, we will create a robust and competitive company as we gain share in the rapidly growing CLEC (Competitive Local Exchange Carrier) An organization offering local telephone service that is not one of the traditional telephone companies. The Telecommunications Act of 1996 allowed competition to the incumbent telcos (ILECs), enabling new companies (CLECs)  arena."

Advanced Communications Group, Inc., headquartered in St. Louis, Mo., is a Midwestern competitive local exchange carrier (CLEC) that provides a portfolio of integrated telecommunications services to over 100,000 business and residential customers within its service areas. ADG is in the process of installing its own local switching network under a "Build Smart" strategy and plans to transfer a select number of its over 104,000 installed access lines to its own network after completing the installation of its switches. ADG also provides over 41,000 business customers with yellow page ads in its directories that it publishes and distributes to over 3.4 million business and residential consumers on an annual basis in its market area.
