:BB:ABSHE) and Comguard Leasing and Financial, Inc. ("CLFI CLFI Common Language Facility Identifier "), today announced an agreement had been reached to rescind the plan and agreement of reorganization, dated September 28, 1998, by and among ABS, CLFI and the shareholders of the CLFI.

In place of the rescinded agreement, the parties have agreed to enter into a strategic relationship to serve the electronic monitoring needs of the criminal justice marketplace in the United States United States, officially United States of America, republic (2005 est. pop. 295,734,000), 3,539,227 sq mi (9,166,598 sq km), North America.
