 BB:AVTX) announced that at a special meeting of its board of directors held on Aug. 31, 2001, a resolution was adopted unanimously.

All shareholders of Preferred Stock Stock shares that have preferential rights to dividends or to amounts distributable on liquidation, or to both, ahead of common shareholders.

Preferred stock is given preference over common stock. Holders of preferred stock receive dividends at a fixed annual rate.
 of the company will be permitted to convert up to 30 percent of their Preferred Shares commencing immediately and expiring at the close of business (5 p.m., PST PST Paroxysmal supraventricular tachycardia, see there ) on Feb. 19, 2002. The conversion will be on a 1:1 basis in which one Preferred Stock share can be converted to one Common Stock share.

Each shareholder is being mailed a notice of this resolution including conversion instructions.
