Advance Circuits, Inc. merger with Johnson Matthey Public Limited Company is consummated.


NEW YORK--(BUSINESS WIRE)--October 6, 1995--Johnson Matthey Public Limited Company and Advance Circuits, Inc. announced today that the merger of a subsidiary of Johnson Matthey Johnson Matthey plc (LSE: JMAT) is a British chemical company which has its headquarters near Holborn in central London. It is traded on the London Stock Exchange and is a constituent of the FTSE 100 Index.  into Advance Circuits has been consummated and that Advance Circuits is now a wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

In other words, the parent company owns the company outright and there are no minority owners.

Each former share of Advance Circuits has been converted, subject to dissenters' rights, into the right to receive $22.50 in cash, without interest. Johnson Matthey and Advance Circuits said that letters of transmittal for use in surrendering share certificates for payment have been mailed today to former Advance Circuits shareholders.
