Acterna Appoints New Board Members.

Acterna today appointed two new members to its board of directors, increasing the number of directors to seven. Hank Bonde, an IBM and BellSouth Cellular veteran and former chief operating officer of JD Edwards, and Steven Mayer, managing director of Cerberus Capital Management, add considerable global technology, sales, marketing and financial management experience to Acterna's board.

Hank Bonde, CEO, Centerpost Corporation

Bonde, currently chief executive of Centerpost Corporation, the leading provider of multi-channel outbound communications solutions, will serve as chairman of Acterna's board of directors. He brings more than 30 years of diversified global experience in the information technology and telecommunications industries gained from senior management roles with companies such as IBM, BellSouth Cellular and JD Edwards. From 2001 to 2002, he served as chief operating officer of JD Edwards, a leading provider of enterprise software with nearly $1 billion in revenue and 5,000 employees, where he delivered exceptional financial performance in an increasingly challenging market environment.

Bonde's experience also includes a nine-year career (1989-1998) with BellSouth Cellular. His experience with BellSouth Cellular included serving from 1995 to 1998 as president and general manager of Los Angeles Cellular Telephone Company, at the time the largest local cellular phone company in the U.S., with more than $900 million in revenue, 2,400 employees and one million customers. During this time, he increased net income by 42 percent, achieved revenue growth of 35 percent and reduced customer churn by 35 percent.

From 1971 to 1988, Bonde served in a number of senior sales, marketing and business development management positions with IBM's Information System group, including significant experience in the Asia-Pacific region.

Bonde is also chairman, board of directors, for LaCrosse-Wisconsin-based Firstlogic, Inc. Firstlogic specializes in enterprise-wide information quality solutions and services for e-business, data warehousing, and print and mail applications.

Steven F. Mayer, Managing Director, Cerberus Capital Management

Steven Mayer is a managing director of Cerberus Capital Management, a private investment firm with about $10 billion of capital under management. He offers a depth of financial management and investment experience in the manufacturing, technology, telecommunications, media, and business services industries in the United States and Europe.

Prior to joining Cerberus in 2002, Mayer was an executive managing director of Gores Technology Group focused on investments in technology companies. He previously served as a managing director of Libra Capital Partners, L.P., a private equity investment firm specializing in later-stage growth companies. Mayer was also managing director and co-head of the corporate finance division of U.S. Bancorp Libra, an affiliated firm. U.S. Bancorp Libra was the leveraged finance unit of U.S. Bancorp, the nation's eighth-largest bank holding company with over $160 billion in assets.

Before joining Libra, Mayer was a managing director of Aries Capital Group, LLC, a private equity investment firm, and a principal with Apollo Advisors, L.P. and Lion Advisors, L.P., affiliated private investment firms. Previously, he served as an attorney with Sullivan & Cromwell specializing in mergers, acquisitions, divestitures, leveraged buyouts and corporate finance.

Bonde and Mayer join five other members of Acterna's new board of directors, announced on October 15, 2003. They include:

-- Todd Arden, director, Angelo, Gordon & Co., an investment

management firm with approximately $10 billion under

management. Previously served as portfolio manager and senior

analyst within AIG/SunAmerica's High Yield Group.

-- Alain Couder, president and CEO of Confluent Software. Former

chief operating officer of Agilent Technologies and former

chairman and CEO of Packard Bell NEC.

-- James Gaffney, director for several companies -- including

Hexcel Inc., Imperial Sugar Company (chairman), SCP Pool Inc.

- with strong turnaround expertise. Former CEO of General

Aquatics/KDI Corporation, International Tropic-Cal,

Ayers/Chairmakers, Inc., Brown Jordan Company and Washington

Industries.

-- Edward Horowitz, founder and chairman of EdsLink LLC, a

financial and technology consulting service, and former

chairman of e-Citi, a Citigroup unit created to pioneer

Citigroup's e-commerce initiatives. Previously served as

senior vice president, technology and operations, for Viacom

Inc.

-- John Peeler, president and CEO, Acterna. More than 25 years of

communications industry experience, including 23 years with
