as compared to the year ended December 31, 1995. Lower margins were primarily due to a more competitive market.

A. Robert Mancuso, Chairman and CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board. , commented, "1996 was both a disappointing and encouraging year for Acrodyne and the markets we serve. Disappointing because we did not achieve our goals for revenue growth, gross margin and subsequent net income. Encouraging because, after a prolonged dispute between the broadcast and computer industries over digital format, the FCC (1) (Federal Communications Commission, Washington, DC, www.fcc.gov) The U.S. government agency that regulates interstate and international communications including wire, cable, radio, TV and satellite. The FCC was created under the U.S. , late in 1996, finally approved the long awaited standards for DTV (Digital TeleVision) Transmitting TV using digital signals. The major DTV standards are ATSC (North America), DVB (Europe) and ISDB (Japan). All three use MPEG-2 video compression and Dolby Digital audio compression. DVB and ISDB also include MPEG audio compression. .

This aforementioned dispute and the related uncertainty over DTV standards forced the broadcasters to postpone major 1996 purchasing decisions causing severe competitive price pressures on those orders that were available.

With the standards issue behind us and the imminent assignment of DTV spectrum, we are beginning to see a renewed interest among the broadcasters to resume purchasing new analog transmitters to replace their power inefficient klystron klystron: see electron tube.

A type of vacuum tube used as an amplifier and/or oscillator for UHF and microwave signals. It is typically used as a high-power frequency source in such applications as particle accelerators, UHF TV transmission and satellite
transmitter, secure in the knowledge that an analog product purchased to date can be retrofitted to DTV tomorrow.

With the advent of DTV, the availability of our new line of Wireless Cable (MMDS (Multichannel Multipoint Distribution Service or Microwave Multipoint Distribution Service) A digital wireless transmission system that works in the 2.2-2.4 GHz range. ) products, and our continuing efforts to upgrade our international reps and dealers, we expect to show significant growth in 1997 and beyond," concluded Mr. Mancuso.
