) announced today that it had received a Nasdaq Staff Determination on November 29, 2002, indicating that the Company fails to comply with the minimum number of publicly held shares requirement for continued listing as set forth in Marketplace Rule 4310, and that its common stock, therefore, is subject to possible delisting Delisting

Upon completion of its previously announced Rights Offering on December 23, 2002, the Company will regain compliance with the minimum number of publicly held shares requirement. However, there can be no assurance the Nasdaq Listing Qualifications Panel will grant the Company's request for continued listing.
