Pursuant to the merger agreement, the holders of outstanding securities of Achievement Tec will receive an aggregate of 7,000,000 shares of common stock of Silver Ramona, representing 70.0% of the outstanding capital stock of Silver Ramona giving effect to such issuance. As a result of the completion of the merger, Achievement Tec was the surviving corporation and a wholly-owned subsidiary of Silver Ramona. Officers and directors of Achievement Tec will become the officers and directors of Silver Ramona. An information statement pursuant to Section 14(f) under the Securities Exchange Act of 1934 was filed with the Securities and Exchange Commission and has been distributed to stockholders in accordance with applicable rules.

Achievement Tec has spent approximately three years and millions of dollars developing a variety of proprietary software and web-delivered products and services to offer employers and individuals through its web sites.

Achievement Tec, Inc., focused its development efforts on its computer PC-based software and building its Internet sites, products and services, and its Internet operations, in 1998 and 1999. 1998 sales volume was $1,148,814.00 with ($23,719.00) in before-tax profits. 1999 sales volume was $1,109,889.00 with $31,116.00 in before-tax profits, with development in progress.

The company reports first ten months' sales for 2000 of approximately $1 million, with expected sales for the year 2000 of $1.2 million. The company is currently executing letters of intent to acquire three other businesses that will allow us to offer clients cost-effective products and services which are complementary to those currently offered by the company. Such acquisition targets provide such complementary services as applicant background checking via the web, national drug testing and also run national job fairs which are sponsored and attended by businesses which are within our target demographic. Consummation of these acquisitions would bring the company's estimated annual sales to $4 million with estimated before-tax profits of approx. 8%, through the following web sites:
