initiative in order to manage the Company more efficiently.

After evaluating corporate governance for smaller corporations such as Aceto, versus larger corporations that generally have larger Boards, Aceto's Board concluded that the needs of smaller companies often differ significantly from those of larger corporations. As a result, to improve the efficiency of the Company, the functions of the Board's Executive Committee have been assumed by a majority of the Board's independent directors. Going forward, compensation and nominating issues will be recommended by a majority of the Company's independent directors to the Board for determination by the Board. The Board has also appointed a lead independent director and a lead compensation director; both of whom are independent under Nasdaq and SEC rules. The Board will continue to maintain its audit committee consisting of three independent directors as required by Nasdaq and the SEC.
