) entered into a subscription agreement on November 13, 2000 for the sale of up to $30 million of common stock under a Private Equity line arrangement.

The Equity Line security provides Access Power the ability to issue common stock as often as bi-weekly in amounts based upon certain market conditions. The pricing of each common stock sale is based upon current market prices at the time of each draw of the Equity Line.

"This Equity Line should give us the working capital for FreeWebCall.com(TM), our free long distance calling service we launched on August 1," said Glenn Smith CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board.  & President. Smith also added that this type of investment vehicle was chosen by Access Power in part to help keep dilution of the company's common stock to a minimum. "Under this arrangement we only sell as much of the company stock that is sufficient to satisfy our immediate capital needs rather than selling stock to raise capital for use over a longer period of time. We feel our shareholders will benefit more from this type of arrangement than many of the other investment vehicles available to the company at this time."
