) and Occam Networks Inc. Monday announced that Accelerated Networks' Registration Statement relating to the previously announced proposed merger of the two companies was declared effective on April 26, 2002 by the Securities and Exchange Commission.

Each company will hold a special meeting of its respective stockholders on May 13, 2002 to obtain approval of the proposed merger involving the two companies.

The special meeting of Accelerated Networks stockholders will be held at 10 a.m., local time, at the law offices of Cooley Godward LLP LLP - Lower Layer Protocol , 3175 Hanover Street, Palo Alto Palo Alto, city, California
