AZCAR Announces $1.25 Million Private Placement, Adds New Member To Board Of Directors.

:AZZ.) announced today that the company has negotiated a $1.25 million private placement of common shares and has agreed to appoint Mr. J.M.R. Berardo to its Board of Directors, subject to regulatory approval.

Terms of the private placement involves the issuing of 500,000 units at a value of $2.25 per unit for a total value of $1.25 million. Each unit will consist of one common share in the capital of AZCAR together with a warrant to purchase one additional common share at a price of $2.75 per share at any time for a period of 24 months following the date of the private placement.

They are part of Combat Logistics Regiment 37 , 3rd Marine Logistics Group (3MLG) and III Marine Expeditionary Force (III MEF). The unit is based out of the Marine Corps Base Camp Smedley D. . He currently is a major shareholder in companies in the cable and wireless side of the broadcast industry.
