AVL Information Systems Ltd. to Acquire Graphicon Corporation and Passage Corporation.

SARNIA, Ontario--(BUSINESS WIRE)--Nov. 8, 1996-- AVL Information Systems Ltd. (CANADIAN DEALING NETWORK: AVLL) (AVLIS) is pleased to announce that it has entered into a Letter Of Intent to acquire both GraphiCon (GCC) and Passage Corporations (PS). Both Companies are Michigan based and are jointly owned.

GraphiCon, established in 1987, provides map consulting and digitized mapping services for municipal and governmental agencies. GCC has become known as an industry leader in computerized Geographical Information Systems (GIS) applications.

Passage Corp., a registered Oracle Business Alliance Partner, combines GIS products of GCC with its open relational application development and network / systems integration. PS applications are designed to interface with existing computer systems.

The combined strengths of the total product mix gives AVLIS the opportunity to offer "end to end" solutions to a much wider customer base. The acquisition increases the company's "critical mass" by doubling our present highly trained staff with proven industry experts and will allow us to penetrate new markets.

The acquisition will be accomplished through the issue of new treasury shares representing a dilution of no more than 25 percent to the present shareholder.
