    --  ATI gaining approximately 55 new employees of which 50 are
        engineers;

    --  Additional expenses of approximately (US) $2 million per
        quarter;

    --  Mildly dilutive to earnings in fiscal fourth quarter of 2002;
        and

    -- Accretive to earnings by mid 2003.
