ASIA PACIFIC FINANCING IN PLACE FOR COMPLETION OF FEASIBILITY STUDIES FOR POTASH PROJECT.

VANCOUVER, BC--(BUSINESS WIRE)--MARCH 31, 1995--ASIA PACIFIC RESOURCES(TSE, VSE: APQ ) Asia Pacific Resources Ltd. is pleased to announce that it has agreed to a private placement financing of up to six million units, each unit comprising one common share of the company together with a non-transferable share purchase warrant. The unit is priced at $2.60 and the warrants will be exercisable for a period of twelve months. During this exercise period, two such warrants plus payment of $3.90 will entitle the holder to purchase one additional common share of the company. A finder's fee is payable in respect of the private placement funding.

Upon completion of this financing, the company will receive gross proceeds of $15.6 million. These funds will be allocated to funding the company's portion of the costs associated with the completion of project feasibility studies for its Udon Thani potash project in northeast Thailand. It is anticipated that the feasibility studies will commence around September, 1995, following completion of the pre-feasibility report presently underway.
