I6 D., Zn&ied by the issuance of 1,667,000 common shares of Asean. As a result of this acquisition, Doppler will become a wholly owned subsidiary of Asean.

As a term of the share purchase agreement Asean has agreed, subject to the closing of the previously announced acquisition of Innovative Computing Ltd. ("Innovative") by Asean, to accelerate the earn-out payment under the original Doppler share purchase agreement dated February 24, 1993, amounting to $1,024,022. This amount is to be paid 180 days from the closing of the Innovative acquisition or earlier in the event of a private or public financing.

In addition, the share purchase agreement provides that the management agreements with David Chalk and Colin Chalk will be extended to December 31, 1999.
